QB End-User License Agreement

Soundways Inc. Internal Software License Agreement

‍1. License Grant
Soundways Inc. ("we," "us," "our") grants you, our authorized internal user, a non-exclusive, non-transferable, revocable license to access and use the Soundways Internal Metrics Tool ("the Software") solely for the purpose of gathering and reporting metrics related to our QuickBooks integration.

‍2. Restrictions
You agree not to:
- Copy, distribute, sublicense, or otherwise make the Software available to any third party
- Reverse engineer, decompile, or disassemble the Software
- Use the Software for any purpose other than internal metrics collection and analysis

‍3. Ownership
All rights, title, and interest in and to the Software—including all intellectual property rights—remain exclusively with Soundways Inc.

‍4. Termination
This license is effective until terminated. We may terminate it immediately upon breach of any term. Upon termination, you must cease all use of the Software and delete all copies.

‍5. Disclaimer of Warranty
The Software is provided "AS IS," without warranty of any kind. Soundways Inc. disclaims all warranties, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

‍6. Limitation of Liability
Soundways Inc. is not liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to your use or inability to use the Software, even if advised of the possibility of such damages.

‍7. Governing Law
This Agreement is governed by the laws of the State of Tennessee, without regard to its conflict of law principles.
